When you considering establish a rep office in china, 

you should know that rep office is not FDI.

It does not require registered capital,thus you can not directly involved in any profit activities.

When i say rep office is a good choice for foreign investors,

 i mean it is an ideal choice for those to get china resident permit 

and those who want to understand Chinese market before entering.

Under no circumstances may a Representative Office : 

· Generate money or issue invoice within China

· Buy property or import production equipment. 

· Directly engaged in any business for profit; 

· Sign contracts or deals on behalf of the parent company; 

    and Represent any firm other than its parent company;

To register your business in Beijing, 

you need to notarize your passport  by a public notary office first 

and then approved by the Chinese embassy in your country. 

If you are a legal entity, 

then aside from notarize and approve of the legal representative’s passport, 

you need to do the same thing 

for your parent company’s business license, bank reference letter. 

So, you’d better get the notary and approval done before you visit china, 

if you are in china already,

you can either go back or delegate someone to do it for you.

Do not ask agents in china to do the notary, 

because most of them are not qualified to do passport notary for foreigners. 

It is better to be done in the country where your passport is issued, otherwise, the Chinese Bureaus may not approve it when you apply for business registration

Equity Joint Venture

A minimum of 25% of the capital must be contributed by the foreign partner(s). There is no minimum investment for the Chinese partner(s).

CJV (Cooperative Joint Venture)

There is no minimum foreign contribution required to initiate a cooperative venture, 

allowing a foreign company 

to take part in an enterprise where they preferred to remain a minor shareholder.

Documents

Depending on the nature of the operations of the proposed joint venture company, 

certain additional government approvals, permits or licenses may be required,

 e.g., sanitation certificates, environmental permits, production approvals, export licenses, 

etc. 

Chinese partner provides: 

1．2x copies of the IDs of the Chinese and foreign investors 

2．2x copies of Chinese partner’s local company business license 

with company stamp    on it 

3．2x copies CPA firm’s capital verification report 

with Chinese partner’s company stamp on it 

4．2x copies Chinese partner’s last year audit report 

with company stamp on it 

5．1 x copy board director’s name and ID list of the Joint Venture 

6．2x copies of Chinese partner’s local company’s article of association 

Foreign Partner provides: 

7．2x Certificate of Incorporations or Equivalent document certified by 

Chinese embassy or Chinese consulate overseas 

For individual investor: The passport copy of Investors need be certified by Chinese embassy or consulate. Double check with us if individual investor is in China currently. 

8．2x Bank Reference Letters from investor’s bank to declare a good standing 

9．Passport copy of: (i) Parent company’s director (ii) China company’s Legal Representative and (iii) China company’s supervisor 

10．China Legal Representative provides: 6 photos (2 inches size), brief resume 

11．Brief introduction of the foreign investor(s) including name, address and telephone number 

12．Registered capital; Business Scope; 5 proposed Chinese names of China JV 

13．Leasing contract; Rental invoice; Property Ownership Certificate(each page with the owner’s official seal;if the owner is an individual, then each page with the owner’s signature, and 2x ID of the owner)

The latest annual audit report copy from the parent company which provided by

 a Certified Public Accountant (CPA) and 

Custom HS Code of proposed Import/Export products in China

 However, the premise is that the Chinese partner has to be a legal entity rather than a natural person to invest in a foreign company.

Since June 2004, 

Beijing government has banned companies 

from establishing their office in residential building.

However it allows businesses already operating in residential building

 to remain where they are.

Tax payable = taxable income × applicable tax rate - quick calculation deduction.

officially signed and issued by State Administration of  Foreign Exchange.

6. ”certificate of approval”, 

officially signed and issued by State Administration of  Foreign Exchange.

7. Taxation Licenses, 

officially signed and issued by State Administration of Taxation,  Beijing Local Taxation Bureau

8. Official Seal, Financial Seal, Seal of Legal Representative, 

and Contract Seal, one of each.

9. Put on record in Beijing Municipal Public Security Bureau

10. Get the official business license after 

registered capital fully paid and checked.

Among those types, consulting and service wfoe requires less registered capital which can be as low as 30,000rmb.

who want to invest in china but don’t know the Chinese market very well. 

Actually, many of my client just choose this structure to 

get their resident permit in china.

 Before you choose this structure ,you should know that

a rep office is not FDI, it cannot generate profit.

Here are some brief introduction about a RO.

A representative office is established by the foreign parent company to 

do market research, product promotion, quality control and other permitted 

non-profit activities in China. 

Since January of 2010, foreign parent company has to be established 

more than two years to setup a representative office in china. 

This may create some barriers for the newly established enterprise overseas. 

The reason why the government create this barriers is that 

many representative office in Beijing engage in illegal activities or 

they operate beyond the permitted activities. 

Advantages of a representative office:

v Requires no capital investment

v Easy to setup, can be registered within 10 working days

v Solve your visa problem 

Disadvantages as i mentioned is the word ”non-profitable activities”.

Documents you need to establish a representative office:

1) 1x Certificate of Incorporations or Articles of formation or 

Equivalent document certified by Chinese embassy

2) 1x Bank Reference Letter from investor’s bank to 

declare a good standing and certified by Chinese embassy or Chinese consulate overseas 

3) A brief summary of the operations of parent company and China Representative office

4) China Chief Representative; 6 photos [2 inch size] ; passport copy. 

5) If there are Representatives to be stationed in China 

in addition to the Chief Representative, the resume, 2 pictures, 

passport copy of Representative(s) are required;

6) Leasing contract; Rental invoice; Property Ownership Certificate(each page with the owner’s official seal;if the owner is an individual, then each page with the owner’s signature, and ID of the owner)
